There is dilemma among the students which course is better according to job profile, stability in career and career growth. To become a Company Secretary (CS) is one of those options through which every perspective can be achieved. Here now we will discuss the Company Secretary exams, phases, qualification and essential requirements. The Company Secretary examination held throughout year twice in June & December.

First of all 10+2 passed students as well as graduated in any stream can apply for Company Secretary exam. The Company secretary examination is conducted by Institute of Company Secretaries of India (ICSI). So if you want to become Company Secretary you have to follow essential stages.

For 10+2 passed or Equivalent:

The students who would like to join the Company Secretary course have to undergo three essential stages. The following stages are-

  • Foundation Programme
  • Executive Programme
  • Professional Programme

The duration of foundation programme is of 8 months for any 10+2 passed of Science, Commerce or Arts stream can apply except Fine arts. Executive programme and the Professional programme is for both 10+2 passed students as well as graduate in any stream except students having subject Fine arts. The essential qualification to pursue Professional programme is that you have to clear Executive Programme of Company Secretary course.

For Graduate Students:

Any Graduate student except Fine Arts would join the Company Secretary course has to undergo 2 stages:

  • Executive Programme
  • Professional Programme

Training Programme:

There are different training Modules at Executive level and Professional level programme. Following training modules are:

  1. Induction Programme: The candidate has to complete 7 days this training programme within 6 months of the registration to the Executive level programme.
  2. Computer training programme: It is a compulsory 70-hours training programme for becoming eligible to appear in the Executive level examination.
  3. Executive Development Programme: It is 8 days EDP training after passing the Executive
  4. 15 months Training programme: After completion of students Induction programme and Executive level programme with company secretaries in practice registered with the institute for training.
  5. 15 days Specialized training: After completion of above several programme such agencies like Registrar of companies (ROC), financial institutions, banking institutions, stock exchange, management firms can commence training programme.
  6. MSOP: Management Skills Orientation Programme is after Professional programme and 15 months training programme.

After successful completion of Training programme a candidate can be associated with Institute of Company Secretaries of India (ICSI) and tag himself/herself as ‘Associate Company Secretary’. After receiving the ‘Certificate of Practice’ from ICSI a member can go in for practice independently.

Register for Company Secretary Executive Programme Course

There are total 2 modules in CS executive course, Module -1 and Module-2.

Module-1: It contains 4 subjects.

  • General and Company laws
  • Cost and Managing Accounting
  • Economic and Commercial laws
  • Tax laws and Practice

Module-2: It contains 3 subjects.

  • Company Accounts and Auditing Practices
  • Capital Markets and Securities Laws
  • Industrial, Labour and General laws

Candidate must regularly check institute website regarding Exam date, fee structure and registration date for both Modules which is to be held in June/ December.

Register for Company Secretary Professional Programme Course:

There are total 4 Modules. Module-1 to Module-4. Each Module consists two subjects.

Module-1:

  • Company Secretary Practice
  • Drafting, Appearances, and Pleadings

Module-2:

  • Financial, Treasury and Forex Managements
  • Corporate Restructuring and Insolvency

Module-3:

  • Strategic Management, Alliances, and International Trade
  • Advance Tax Laws and Practices

Module-4:

  • Due Diligence and Corporate Compliance Management
  • Governance, Business Ethics, and Sustainability

The medium of Examination:

Except for the Business Communication subject of foundation programme all exams are bilingual, English as well in Hindi.

IMPORTANT NOTES:

  • Minimum Qualifying marks are 40% in each paper and 50% marks in aggregate in all subjects.
  • A student is required to complete the Executive level and the Professional level examination within the defined registration period.

There is around 22500 Company Secretaries are working for either industrial organization or self Practice. In future India will need many additional Company Secretaries in Industrial Organizations due to the globalization of the world. ICSI also provides a scholarship for who have a good academic record minimum 60% in the examination. For physically handicapped students, ICSI provides 25% concession on total fee.
